Determine the company's status
- Check whether the company is at least 25% foreign-owned and whether you meet the definition of a foreign person.
- Obtain an EIN for a wholly foreign-owned single-member LLC and use the specific wording for this purpose on Form SS-4.
Prepare Form 5472
- Check sales, rent, services, loans, capital contributions, withdrawals, and formation-related payments.
- Prepare a pro forma Form 1120 every year and write "Foreign-owned U.S. DE" at the top.
- Complete a separate Form 5472 for each related person with whom you had a reportable transaction and attach it to the pro forma Form 1120.
- Do not file the forms electronically; use the specified fax or mailing address.
Check other reporting requirements
- If the aggregate value of the company's foreign financial accounts exceeds $10,000 at any time during the year, file FinCEN Form 114.
- If a foreign party established a new business or acquired a business and owns at least 10% of the voting power, review the BE-13 requirement.
- Keep permanent books and records demonstrating the accuracy of the tax return and transactions with related persons.
