Paramount’s acquisition of Warner Bros. was approved by the Competition Authority in exchange for commitments aimed at addressing competition concerns in Türkiye.
The Authority identified horizontal and vertical overlaps between the activities of the two companies. The competition assessment focused on the markets for the distribution of cinema films, the wholesale supply of television channels and subscription video-on-demand services.
Commitment to independence at UIP Türkiye
Paramount stated that it would end its shareholding in UIP Türkiye, which it jointly controls with Universal. The company also said it would not establish a joint venture or similar commercial structure with Universal for joint film distribution in Türkiye.
The distribution of Warner Bros. and Paramount films will not be combined with third parties that also distribute films from Universal or Walt Disney. The Warner Bros. and Universal operations within UIP Türkiye will also be conducted independently of one another.

Content licenses and television agreements
Paramount will make films shown in cinemas available for licensing to third-party platforms in Türkiye on market terms after the three-year exclusivity period following their initial availability on subscription video-on-demand platforms controlled by Paramount and Warner Bros.
This commitment will remain in effect for five years from the closing date of the transaction.
For the wholesale supply of television channels, existing agreements between Paramount and Warner Bros. and Digiturk, TV+, Tivibu, D-Smart and other linear television providers will be extended on the same terms and conditions through December 31, 2029, if requested by the relevant provider.
For as long as Paramount and Warner Bros. continue to offer their existing television channels in Türkiye on subscription video-on-demand platforms they control, they will keep those channels available for licensing to third parties on market terms.
The Competition Authority decided that the commitments were sufficient and proportionate to address the identified concerns and could also be implemented within a short period.
